Terms of Service
These Terms of Service (“Terms”) constitute a binding legal contract between you or the entity you represent (“Customer”, “you”) and Nicrron Inc. (“Nicrron”, “we”, “us”).
99.99% Core SLA
High-availability universal routing gateway with automated circuit breakers and failover.
Transparent Metering
Provider list-price tokens plus a stated 5% platform fee, on an immutable ledger. Both charges are disclosed in section 5 — there are no others.
Customer IP Ownership
You retain 100% full intellectual property ownership of your prompts, embeddings, and completions.
Encrypted Custody
Cryptographic SHA-256 key hashing with granular team RBAC permission controls.
011. Acceptance of Terms & Authority
By creating an account, generating an API key, deploying an application configured with a Nicrron baseURL (gateway.nicrron.com), or issuing requests to our routing infrastructure, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
If you are accepting these Terms on behalf of an enterprise, company, or governmental entity, you warrant and represent that you have legal authority to bind such entity.
022. Gateway Routing & Multi-Provider Architecture
Nicrron provides high-performance API routing infrastructure designed to normalize, dispatch, and stream Large Language Model (LLM) inference requests across diverse third-party foundation model providers through a unified OpenAI-compatible interface.
Nicrron dynamically maps incoming model requests to optimal upstream endpoints based on context window requirements, latency metrics, and real-time provider availability.
033. Service Level Agreement (SLA) & Uptime
Nicrron commits to delivering an operational uptime of 99.99% for the core gateway routing layer during each calendar billing cycle, excluding scheduled maintenance windows announced at least 48 hours in advance via dashboard notices.
If core routing monthly uptime falls below 99.9%, customers are eligible to request service credits proportional to the downtime duration applied directly to their universal credit balance upon verification by our site reliability team.
044. Account Registration & API Key Custody
You are solely responsible for maintaining the confidentiality of your account credentials and generated secret API keys (sk-af-...). Any inference request received with your API key will be deemed authorized and billed against your universal credit ledger.
- API keys must never be committed to public code repositories or client-side frontends.
- You may immediately disable, rotate, or delete compromised keys via the API Keys dashboard.
055. Token Metering, Credits & Wallet Protection
All requests routed through Nicrron are metered at token-level granularity based on the prompt and completion tokens consumed, priced at the upstream provider's published per-token rate for the model you called, plus a 5% platform fee. Prompt-cache reads are billed at the provider's own discounted rate. No other per-token charge is applied.
- Prepaid Universal Credits: Credits purchased via Stripe Checkout are applied to your organization wallet instantly and do not expire while your account remains in good standing. A payment processing fee of 5.5% + $0.35 is deducted from each payment; the credit amount you will receive is shown before you pay, both on this site and on the Stripe Checkout page. A $10.00 payment books $9.10 in credits.
- Automated Wallet Protection: If enabled, when your wallet balance reaches zero our billing service will automatically charge your designated payment method $10.00, booking $9.10 in credits, to prevent production gateway rejection. The same processing fee applies.
- Refunds & Disputes: Prepaid API credits are for digital utility usage and are strictly non-refundable. Any chargebacks or payment disputes filed with your bank will result in the immediate and automated suspension of your account and API keys. We aggressively defend against fraudulent chargebacks by securely submitting your API request logs, token consumption data, and IP addresses as evidence to the issuing bank.
066. Customer Data & Intellectual Property
As between the parties, you retain all right, title, and ownership interest (including all copyright, trade secret, and patent rights) in and to all inputs (prompts, instructions, system prompts) and outputs (generated completions, token streams) processed through Nicrron. Nicrron claims zero ownership rights in customer data.
077. Acceptable Use Policy & Content Guardrails
Every request you send is served by an upstream foundation model provider under our agreement with them. You must comply with the published usage policy and acceptable use policy of whichever provider serves your request, and those policies are incorporated into these Terms by reference. Where an upstream policy is stricter than this section, the stricter one governs. Which provider serves a given model is listed on the models page. If a provider notifies us that your use violates their policy, we will suspend your account under section 13.
You agree not to use Nicrron to facilitate, develop, or promote:
- Using the Services in any way that violates applicable law, or that infringes, misappropriates, or violates any third party's rights.
- Access by anyone under 18, or under the age of digital consent in your jurisdiction, without verified consent from a parent or legal guardian.
- Reverse assembling, reverse compiling, decompiling, translating or otherwise attempting to discover the source code or underlying components of models, algorithms, and systems.
- Using output to develop, fine-tune, or train competing foundation models.
- Using any automated or programmatic method to extract data or output from the Services, including scraping, web harvesting, or web data extraction.
- Representing that output from the Services was human-generated when it is not, without clear disclosure.
- Buying, selling, leasing, or transferring Nicrron API keys, or access to your Nicrron account, from, to, or with a third party. This prohibition is absolute and we cannot waive it, because the upstream agreements we operate under do not permit us to.
- Bypassing, circumventing, or attempting to bypass rate limits, safety guardrails, or acceptable use policies of upstream foundation model providers.
- Using the Services for spam, malicious cyber-attacks, exploitation tooling, vulnerability weaponization, malware propagation, unauthorized surveillance, deceptive impersonation, or harassment.
- Developing applications that interact with users without disclosing that the user is interacting with an AI system.
Bring-your-own-key. If you choose to supply your own upstream provider key rather than draw on credits, you are transferring that key to us to hold and use on your behalf. Several providers restrict transferring their API keys to a third party. You are responsible for confirming that supplying the key is permitted under your own agreement with that provider, and you represent that it is. We store such keys encrypted at rest and use them only to serve your own requests.
088. Automated Failover & Upstream Provider Outages
Nicrron implements intelligent circuit breakers and automatic retry policies. When an upstream foundation model provider (e.g. OpenAI or Anthropic) suffers elevated latency, rate limits (HTTP 429), or 5xx server outages, Nicrron attempts transparent fallback to configured secondary endpoints where compatible.
099. Confidentiality & Non-Disclosure
Each party agrees to protect the Confidential Information of the other party using the same degree of care it uses for its own confidential assets (but not less than reasonable care). Confidential Information includes non-public API architectures, security vulnerability disclosures, and custom enterprise pricing terms.
1010. Warranties & Disclaimers
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 3 (SLA), THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
1111. Limitation of Liability & Consequential Damages
To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of business profits, data corruption, or operational interruptions) arising out of or related to these Terms.
0212. Mutual Indemnification
Nicrron will defend Customer against any third-party claim alleging that the core routing software infringes any patent or copyright. Customer will defend Nicrron against any third-party claim arising from Customer content violating applicable laws or third-party rights.
1313. Term, Suspension & Account Termination
You may terminate your account at any time by revoking your API keys and requesting account closure in the workspace settings. Nicrron may suspend access immediately and without notice if we detect malicious denial-of-service attempts, fraudulent payment activities, violations of the Acceptable Use Policy, upstream provider policy violations, or upon explicit request from our upstream foundation model providers to ban a specific user for safety violations.
1414. Dispute Resolution & Binding Arbitration
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising out of this agreement will be settled via confidential binding arbitration administered by JAMS in San Francisco, California.
